Rhino Moon Terms of Service
Welcome to the Project readOn website (the “Site”) and the
Project readOn Software, managed by Rhino Moon Captioning, Ltd. Please
read the following Terms of Service carefully before using the Site,
opening a Project readOn account (“Account”) or downloading
the Software (as defined below), so that you are aware of your legal
rights and obligations with respect to Rhino Moon Captioning, Project
readOn, affiliates, parent companies, licensees and subsidiaries (individually
and collectively, “we,” “us,” “Project readOn,”
or “Rhino Moon”).
By using this Site, opening an Account or using the Software and/or
the Service (defined below), you signify your irrevocable acceptance
of this Terms of Service. Rhino Moon has the right to revise this
Terms of Service at any time without providing with notice to its users.
Your continued use of the Site, the Software, the Service and/or your
Account shall be deemed irrevocable acceptance of those revisions.
Rhino Moon reserves the right to change, modify, suspend or discontinue
any portion of the Site, the Software and/or the Service at any time.
Rhino Moon may also impose limits on certain features or restrict your
access to all or parts of the Site in its sole discretion and without
notice or liability to you.
As used in this Terms of Service:
(a) the term, “Software,”
includes:
- the Project readOn
software which installs on or is used through your computer,
- any other software
associated with the Project readOn which is owned, controlled or licensed
by Rhino Moon including, without limitation, software installed on your
computer and/or server software utilized with the Service, and
- any online or enclosed
documentation, data distributed to your computer for processing and
any future programming fixes, updates and upgrades provided to you;
(b) and the term “Service”
means the website services related to the Software.

Description of the Site and the Software
This Site allows you to create
an Account, use the Software and to obtain information regarding the
Software. You may be asked to provide information regarding your
Account before you can use the Software and the Service.
2.
Privacy
Your privacy is very important to us at Rhino Moon. To better protect
your rights we have provided the Project readOn Privacy Statement to

3.
Limited License
Rhino Moon grants you a limited license to access and use the Site and
the Software subject to the terms and conditions of this Terms of Service
and EULA (the “EULA”). However, this license does not
allow you to make any commercial use or any derivative works or use
of this Site or the Software (including any of its individual elements
or content).
You may not use, frame or utilize
framing techniques to enclose the Site, or any individual element or
materials within the Site, including without limitation, Rhino Moon’s
trademarks, logos or other proprietary information (including any Materials
(defined below), the content of any text, graphics, or the layout and
design of any page or form contained on a page) without Rhino Moon’s
express written consent. Further, you may not use any circumvention
tools, meta tags or any other “hidden text” utilizing a Rhino Moon
name, trademark, URL, or product name without Rhino Moon’s express
written consent.
4.
Use of Materials
All materials transmitted or published by Rhino Moon on the Site (including,
but not limited to the Software, text, images, forms, logos, graphics,
images, audio clips, video clips, photographs, illustrations, video
and audio clips, etc.) (collectively, the “Materials”) are
owned or controlled by Rhino Moon, its subsidiaries or affiliated companies
or a third-party provider, and are protected by United States and international
copyright, trademark, and other laws.
Any copying, uploading, reproduction, transmittal or redistribution
of the Materials which is not in accordance with this Terms of Service
is strictly prohibited. Making modifications to the Materials (unless
such modifications are allowed through the Software) or creating derivative
works based on the Materials is prohibited, as is the unauthorized use
of the Materials on any networked computer environment or other website.
5. Online Conduct and User Content
Please exercise respect when participating in any of the Site’s, the
Software’s and/or the Service’s community features such as forums,
bulletin boards, chats, voice chat, etc. (“User Venues”).
You understand that all information, data, text, software, music, sound,
photographs, graphics, video, messages or other materials (“Content”),
whether publicly posted or privately transmitted through User Venues,
is the sole responsibility of the person from which such Content originated.
This means that you, and not Rhino Moon, are entirely responsible for
all Content that you upload, download, post, email, transmit or otherwise
make available via the User Venues. Rhino Moon does not control the
Content posted or transmitted via the User Venues and does not guarantee
the accuracy, integrity or quality of such Content. You understand that
by using the Site, the Software and/or the Service, you may be exposed
to Content that is offensive, indecent or objectionable and you may
be exposing others to Content that others find objectionable. You agree
that you must evaluate, and bear all risks associated with, the use
of any Content, including any reliance on the accuracy, completeness,
or usefulness of such Content. You acknowledge that you may not rely
on any Content submitted to Rhino Moon through the User Venues.
Notwithstanding anything to
the contrary, you promise that you will not:
- remove any proprietary
notices from this Site, the Software or any copy thereof;
- cause, permit or
authorize the modification, creation of derivative works, or translation
of this Site or the Software without the express permission of Rhino
Moon;
- sell, assign, rent,
lease, act as a service bureau, or grant rights in the Software including,
without limitation, through sublicense, to any other person or entity;
- make any false,
misleading or deceptive statement or representation regarding Rhino
Moon, the Site, the Software and/or the Service;
- export or re-export
the Software in violation of United States export laws;
- use the Site, the
Software or the Service for any commercial purpose or the benefit of
any third party, or any manner not permitted by the licenses granted
herein or charge any person, or receive any compensation for, the use
of the Site, the Software or the Service;
- copy the Software
(other than as provided under United States copyright laws);
- access, create or
modify source code of the Software in any way;
- use the Site, the
Software or the Service to, or in any way that would, violate any applicable
law, regulation or ordinance;
- attempt to decompile,
reverse engineer, disassemble or hack the Site, the Software or the
Service, or to defeat or overcome any encryption and/or digital rights
management technology implemented by Rhino Moon with respect to this
Site, the Software, the Service and/or data transmitted, processed or
stored by Rhino Moon, the Site, the Software or the Service;
- take any steps to
interfere with or in any manner compromise any of Rhino Moon’s security
measures;
- harvest or collect
any information or communication about the Site, the Software or the
Service or users of the Software or Service by monitoring, interdicting
or intercepting any process of the Site, the Software or the Service;
- use the Site, the
Software or the Service to develop, generate, upload, post, display,
transmit or store information that: (A) infringes any third party's
intellectual property or other proprietary rights; (B) is defamatory,
libelous, harassing, pornographic, an invasion of privacy, obscene,
abusive, illegal, racist, offensive or harmful; (C) constitutes unsolicited
promotions, advertising or solicitations for funds, good or services,
including junk mail and spam, (D) otherwise violates this Terms of Service
in any way, (E) in any way obstructs or otherwise interferes with the
normal performance of another person's use of the Site, the Software
or the Service, (F) constitutes harassment or a violation of privacy
or threatens other people or groups of people; or (G) constitutes phishing,
pharming or impersonates any other person, or steals or assumes any
person's identity (whether a real identity or online nickname or alias).
Any time you upload, post or
transmit Content to the User Venues, including but not limited to forums,
bulletin boards or chats, you automatically grant Rhino Moon a non-exclusive,
royalty-free, perpetual license of all rights throughout the universe
to use, edit, modify, include, incorporate, adapt, record and reproduce
the Content posted by you in any manner whatsoever, in or out-of-context,
in all languages, in all media now known and hereafter devised, and
to use the Content in advertising, promotion and publicity for the Site,
the Software, the Service and Rhino Moon’s and/or its affiliates’
other products and services, in any and all media now known or hereafter
devised. You further waive all rights of “droit moral” or “moral
rights of authors or creators” and/or similar rights or principals
of law which you may now or hereafter have in any such Content.
6.
Disclaimer
The Site, the Software, AND THE SERVICE
are provided "as is" and without any warranties, claims or
representations made by Rhino Moon of any kind either express, implied
or statutory with respect to the Site, the Software, AND/OR THE SERVICE,
including warranties of quality, performance, non-infringement, merchantability,
or fitness for a particular purpose, nor are there any warranties
created by course of dealing, course of performance or trade usage.
Without limiting the foregoing, Rhino Moon,
ITS AFFILIATES AND/OR BUSINESS PARTNERS
do not warrant that the Site, the Software, THE SERVICE
and the functions contained therein will be available, accessible, uninterrupted,
timely, secure, accurate, complete or error-free, that defects, if any,
will be corrected, or that the Site, the Software, THE SERVICE,
and/or the servers that make same available are free of viruses, clocks,
timers, counters, worms, software locks, drop dead devices, trojan-horses,
routings, trap doors, time bombs or any other harmful codes, instructions,
programs or components.
You acknowledge that the entire risk arising out of the use or performance
of the Site the Software AND/OR THE SERVICE
remains with you to the maximum extent permitted by law.
Some jurisdictions do not allow the disclaimer of implied warranties,
so the foregoing disclaimer may not apply to you.
7. Limitation of Liability
IN NO EVENT SHALL RHINO MOON,
ITS AFFILIATES AND/OR BUSINESS PARTNERS BE LIABLE WHETHER IN CONTRACT,
WARRANTY, TORT (INCLUDING NEGLIGENCE (WHETHER ACTIVE, PASSIVE OR IMPUTED),
PRODUCT LIABILITY OR STRICT LIABILITY OR OTHER THEORY), FOR ANY INDIRECT,
INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION
ANY LOSS OF DATA, SERVICE INTERRUPTION, COMPUTER FAILURE OR PECUNIARY
LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE SITE, THE SOFTWARE
OR THE SERVICE, INCLUDING ANY DAMAGES RESULTING THEREFROM, EVEN IF RHINO
MOON, ITS AFFILIATES AND/OR BUSINESS PARTNERS HAVE BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES.
YOUR ONLY RIGHT WITH RESPECT TO ANY PROBLEMS OR DISSATISFACTION WITH
THE SITE, THE SOFTWARE OR THE SERVICE IS TO TERMINATE YOUR ACCOUNT,
DISCONTINUE ANY USE OF THE SITE AND CEASE USE OF THE SOFTWARE AND THE
SERVICE.
Some jurisdictions do not allow
the limitation of liability, so the foregoing limitation may not apply
to you.
8. Links to Third Party Sites
The links provided throughout the Site will let you leave the Site.
These links are provided as a courtesy only, and the sites they link
to are not under the control of Rhino Moon in any manner whatsoever.
Therefore, Rhino Moon is in no manner responsible for the contents of
any such linked site or any link contained within a linked site, including
any changes or updates to such sites. Rhino Moon is providing these
links merely as a convenience, and the inclusion of any link does not
in any way imply or express affiliation, endorsement or sponsorship
by Rhino Moon of any linked site and/or any of its content therein.
9.
Term of Use
The license for use of the Site, Software and the Service is effective
until terminated. This license will terminate as set forth within this
Terms of Service and/or the EULA or if you fail to comply with any term
or condition of this Terms of Service. In such event, no notice
shall be required by Rhino Moon to effect such termination. Sections
4, 5, 6, and 8 through 18 of this Terms of Service shall survive any
termination or expiration of the license for the use of this Site, the
Software or the Service.
10.
Your Representations and Warranties
You represent and warrant that:
- you possess the
legal right and ability to enter into this Terms of Service and the
EULA and to comply with their terms;
- you will use this
Site, the Software and the Service for lawful purposes only and in accordance
with this Terms of Service, the EULA and all applicable laws, regulations
and policies;
- you will only use
the Site, the Software and the Service on a computer on which such use
is authorized by the computer's owner; and
- you are over 13
years of age.
11.
Indemnity
You agree to indemnify, defend and hold harmless Rhino Moon, and its
subsidiaries, affiliates, officers, parent companies agents, co-branders
or other partners, and employees (collectively, the “Indemnified
Parties”), at your expense, against any and all third-party claims,
actions, proceedings, and suits and all related liabilities, damages,
settlements, penalties, fines, costs and expenses (including, without
limitation, reasonable attorneys’ fees and other dispute resolution
expenses) incurred by any Indemnified Party arising out of or relating
to your (i) violation or breach of any term of this Terms of Service
or any policy or guidelines referenced herein, or (ii) use or misuse
of the Site, the Software or the Service.
12. Notification of Possible
Copyright Infringement
Rhino Moon may be required
to disclose information to individuals asserting rights under the Digital
Millennium Copyright Act, and you expressly authorize Rhino Moon to
comply with any and all lawful notices, subpoenas, court orders or warrants
without prior notice to you.
Rhino Moon will investigate
notices of copyright infringement and take appropriate actions. If you
believe that your work has been used or copied in a way that constitutes
copyright infringement and such infringement is occurring on or through
this Site, please notify Rhino Moon’s Copyright Agent identified below.
Pursuant to Title 17, United
States Code, Section 512(c)(3), a notification of claimed infringement
must be a written communication addressed to the designated agent as
set forth below (the “Notice”), and must include substantially
all of the following:
(a) a physical or electronic
signature of the person authorized to act on behalf of the owner of
the copyright interest that is alleged to have been infringed;
(b) a description of the copyrighted
work or works that you claim have been infringed (“infringed work”)
and identification of what material in such work(s) is claimed to be
infringing (“infringing work”) and which you request to be removed
or access to which is to be disabled;
(c) a description of the exact
name of the infringing work on the Site (and the location of the infringing
work, if it appears on the Site) or if the infringing work appears on
a site linked to from the Site where the material that you claim is
infringing is located on such site;
(d) information sufficient to
permit Rhino Moon to contact you, such as your physical address, telephone
number, and email address;
(e) a statement by you that you have a good faith belief that the use of the material identified in your Notice in the manner complained of is not authorized by the copyright owner, its agent, or the law;
(f) a statement by you that the information in your Notice is accurate and, under penalty of perjury that you are the copyright owner or authorized to act on the copyright owner's behalf.

has been used or copied in a way that constitutes copyright infringement
and such infringement is occurring

13.
Export Control Law; Notice to U.S. Government Users
The export and re-export of
the Software is controlled by the United States Export Administration
Regulations and such software may not be exported or re-exported to
any countries embargoed under U.S. law. In addition, the Software may
not be distributed to persons on the Table of Denial Orders, the Entity
List, or the List of Specially Designated Nationals.
By downloading the Software
or using this Site, you are certifying that you are not a national of
any country embargoed under U.S. law and that you are not a person on
the Table of Denial Orders, the Entity List, or the List of Specially
Designated Nationals.
All Rhino Moon products and
publications are commercial in nature. The Software and documentation
available on the Site are "Commercial Items," as that term
is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer
Software" and "Commercial Computer Software Documentation,"
as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202,
as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §§227.7202-1
through 227.7202-4, as applicable, the Commercial Computer Software
and Commercial Computer Software Documentation are licensed to U.S.
Government end users (i) only as Commercial Items and (ii) with only
those rights as are granted to all other end users pursuant to the terms
and conditions herein.
14.
Severability
If any provision of this Terms of Service shall be deemed unlawful,
void, or for any reason unenforceable, then that provision shall be
deemed severable from these terms and conditions and shall not affect
the validity and enforceability of any remaining provisions.
15.
Trademark
All trademarks, service marks,
logos, trade names, and any other proprietary designations of Rhino
Moon used herein are trademarks or registered trademarks of Rhino Moon.
Any other trademarks, service marks and trade names are the trademarks
or registered trademarks of their respective parties.
The Software may be used for
viewing material created by third-parties. Rhino Moon makes no
claim to proprietary or intellectual property rights in these third
party materials, websites, and services.
16.
Miscellaneous
Rhino Moon reserves all rights not expressly granted herein. Rhino
Moon may modify this Terms of Service at any time by posting the revised
Terms of Service on the Site. Your continued use of the Site, the Software
and/or the Service shall constitute your acceptance of such revised
Terms of Service. You may not assign any rights granted to you hereunder.
Nothing in this Terms of Service shall constitute a partnership or joint
venture between you and Rhino Moon. The failure of Rhino Moon at any
time or times to require performance of any provision hereof shall in
no manner affect its right at a later time to enforce the same unless
the same is waived in writing. This Terms of Service shall be governed
by and construed in accordance with the laws of the State of Texas without
regard to its conflict of law rules. Any legal proceeding arising out
or relating to this Terms of Service against or relating to Rhino Moon
or any Indemnified Party under this Terms of Service will be subject
to the exclusive jurisdiction of any state or federal court sitting
in Travis County, Texas and you irrevocably consent to the jurisdiction
of such courts. The terms set forth in this Terms of Service and
any agreements included or referred to in this Terms of Service constitute
the final, complete and exclusive agreement with respect to the Site,
the Software and the Service and may not be contradicted, explained
or supplemented by evidence of any prior agreement, any contemporaneous
oral agreement or any consistent additional terms.

Under California Civil Code Section 1789.3, residents of California who hold an Account are entitled to the following specific consumer rights information: Rhino Moon has an address at 815-A Brazos St, #179, Austin, TX 78701, and is engaged in the development of closed captioning and services for distribution worldwide. Currently there are no charges to the consumer for use of Rhino Moon web site, other than the cost of any products or services purchased therein and any applicable taxes, shipping fees, and other charges associated with such purchases. Unless otherwise stated, these charges appear for each purchase on the Order Confirmation pages relating to each purchase, e-mailed to the consumer after said purchase. Rhino Moon publishes its payment methods and sales tax policy on the projectreadon.com web site. Rhino Moon reserves the right to change its pricing.

Project readOn Privacy Statement
Welcome to
the www.projectreadon.com website run by Rhino Moon Captioning,
Ltd (“Rhino Moon,” “we,” “us,” or “our”). Rhino Moon
is committed to respecting the privacy rights and concerns of all users
of our Project readOn website and/or service (collectively, the
“Site”) and our application entitled “Project readOn”
and related software (the “Software”) (we refer to the Site
and the Software collectively as the “Project readOn Features”).
As such, we have established and implemented this privacy statement
to inform visitors to the Site and users of the Software how we use
and protect the information we collect. If you have any questions
regarding this information or our privacy practices, please see the
section entitled “Questions? Contact Us” at the end of this privacy
statement.
This privacy
statement is effective as of February 15, 2007.
What information
does Rhino Moon collect?
Rhino Moon
does not collect personally identifiable information other than that
which our visitors voluntarily provide it to us, such as when you set
up an account. The following sections describe what type of information
we collect, when we collect it and how we use it.
Setting
up an account
In order to
use certain functionality of the Project readOn Features, we ask that
you submit certain personal information to create a user account.
When you register and create an account, we ask for certain information
including your e-mail address. Upon activating an account, we
will ask you to select a user name and password that will be used so
you can securely access and maintain your account.
Cookies
Cookies are
small pieces of electronic information that a web site can transfer
to a visitor’s hard drive to help tailor and keep records of his or
her visit to the site. The use of cookies is common on the Internet
and many web sites use them. Cookies allow web site operators
to better customize visits to the site to the visitor’s individual
preferences. For example, by setting a cookie you would not have
to log in a user name or password more than once, thereby saving time.
We currently save password information in cookies, however, we do not
receive or record any personal information in the cookies we use.
Although most
Web browsers automatically accept cookies, you can usually change your
browser to prevent that or to notify you when you are sent a cookie.
Even without accepting a cookie, you can still access the Project readOn
Features. However, to access your account, you will have to re-enter
your user name and password each time you visit the Site.
Bulletin Boards, Blogs, User Forums and Chat Services
The Project readOn Features may include certain community features such as blogs, bulletin boards, user forums and chat services. While Rhino Moon does not actively use any information posted on blogs, bulletin boards, user forums or chat services, Rhino Moon does keep an ongoing archive
of some of such information for record-keeping purposes. We will
display an account holder’s user name when that account holder posts
a message on a blog, bulletin board, or user forum. It is important
for each account holder of the Project readOn Features to understand
that if he or she provides personal information in a blog, bulletin
board or user forum posting or chat session, other Project readOn Features
account holders will have access to that personal information.
Sweepstakes and Contests
We may offer contests and sweepstakes to our account holders form time to time. To enter each particular contest or sweepstakes, an account holder must submit his user name. We may aggregate certain information from
our account holders when they participate in contests or sweepstakes
so we may better understand what types of contests or sweepstakes appeal
to our customers. We will only use such information in the aggregate
and we will not connect such information to personally identifiable
information, such as people’s names or e-mail addresses. For
example, if we hold a contest to win a television, we may determine,
in the aggregate, how many of our account holders who enter the contest
have selected “television” as an interest.
Customer Service
We provide customer service support through FAQ’s and email. In order to provide customer support, in some cases, we will ask for your e-mail address and user name. Aside from this information, we do not ask for any personal information to provide customer support. We only use information received from customer support requests, including e-mail addresses and user names, for customer support services and we do not transfer or share this information with any third parties.
How do we use the information you provide us?
As stated above, we will use your e-mail address and user name to contact you when we provide customer support.
In addition, we may also use your e-mail address to send you information on updates to the Project readOn Features from time to time. To opt out of receiving these e-mails, please see the section below titled “How do you opt out?” Please note that if you are participating in a pre-release testing program for the Project readOn Features, such as an Alpha test or a Beta test, should you opt out, you may no longer be able to participate in the applicable testing program.
We may also provide information about our visitors and account holders to outside parties from time to time. For further details, please see the section below titled “Does Rhino Moon disclose the information it collects to outside parties?”
We may use the information we collect to tailor your experience through the Project readOn Features by providing a faster method for you to access your account and submit information to us and allowing us to contact you, if necessary, such as when you win a contest or sweepstakes.
How does Rhino Moon protect customer information?
We implement a variety of security measures to ensure the security of your personal information on our systems. User personal information is contained in secured networks and is only accessible by a limited number of employees and contractors who have special access rights to such systems. Any credit card information you supply us is transmitted directly from you to our third-party billing processor, www.authorize.net. The treatment of such personal information is governed by this policy http://www.authorize.net/company/privacy/.
Does Rhino Moon disclose the information it collects from its visitors to outside parties?
Rhino Moon does not currently sell, trade, or otherwise transfer outside the company, its affiliate entities, or its contractors (such as its customer support representatives) personally identifiable information that account holders voluntarily provide in any account registration, sweepstakes or contest submission. This information is used to better understand how account holders use the Project readOn Features, to support related transactions made on the site, and to better know our visitors and possibly tailor any specific features, promotions, or other notifications to them. However, this data in an aggregate form without any personally identifiable information may be provided to other parties for marketing, advertising, or other uses. For example, we may provide information to a third party about how many account holders who selected “movies” as an interest entered a sweepstakes, or how many of our account holders overall selected “television” as an interest and are between the ages of 17 and 24. Should you change your mind about permitting Rhino Moon to store the personal information you provided to us, should you no longer wish to receive information from us, or should your information change, we have provided a way for you to correct, update or remove the personal data you gave us. For further details please see the section below titled
“How do you change the information we have for you?”
In the event Rhino Moon goes through a business transition, such as a merger, is acquired by another company, or sells a portion of its assets, account holders’ information will, in most instances, be part of the assets transferred. Should any of these events occur, visitors and account holders will be notified via prominent notice on the Site for 30 days prior to a change of ownership or control of user information held by us. If, as a result of the business transition, information will be used in a way inconsistent with this Privacy Statement, users will have a choice with regard to their information as described in “How do you change the information we have for you?”
Notwithstanding any other term of this privacy statement, we may release any personal information we obtain or collect when we believe its release is appropriate to comply with the law, enforce our Project readOn Features policies, or protect ours or others’ rights, property, or safety.

How do you opt out?

How do you change the information we have for you?
To update, modify or delete the information that we have on file for your account, simply go to the “My Account” section of the Site, log in, then modify or delete your personal information and settings as you wish. If you wish to delete your email address, you will be required to terminate your account.

In an attempt to provide increased value to our visitors, we may choose various third party web sites to link to, and frame within, the Site. We also participate in co-branding and other relationships to offer e-commerce and other services and features to our visitors and account holders. Surveys
From time-to-time, we request information from users via surveys. Participation in these surveys is completely voluntary and you therefore have a choice whether or not to disclose this information. RHINO MOON CAPTIONING, INC. END USER LICENSE AGREEMENT
This End User License Agreement ("Agreement") constitutes a valid and binding agreement made and entered as of the date on which you accept this agreement, (“Effective Date”) by and between Rhino Moon Captioning, Ltd. and their respective affiliates (singly and collectively, "Rhino Moon") and you ("you," or "your") for the testing of the Software and the online services including webpages and associated resources related to the Software (the “Service”). As used in this Agreement, the term “Software” means the software program entitled “Project readOn”, any online or enclosed documentation, any and all copies and/or derivative works of such software and/or documentation, including without limitation, any and all “patches,” future programming fixes, updates and upgrades provided to you. In using the Software, you may create an account (“Account”). The Software will not function unless it is installed or run on a computer which meets its minimum installation requirements. The Service is subject to a separate Terms of Service agreement (“Terms of Service”) which you must agree to before using the Software. You may view the Terms of Service here Terms of Service. You may only use the Software if you have agreed to this Agreement and the Terms of Service.

1. License Grant
Subject to the terms of this Agreement and the Terms of Service, Rhino Moon hereby grants you, a limited, non-exclusive, personal, non-sublicensable, non-assignable license to download, install and use the Software onto a computer and to use the Software in conjunction with the Service solely for the purpose of evaluating the Software and the Service and providing feedback regarding the Software and the Service to Rhino Moon. The Software may only be used in connection with the Service and in accordance with this Agreement and the Terms of Service and any rules, restrictions or documentation set forth by Rhino Moon from time to time.
2. License Restrictions
(a) Notwithstanding anything to the contrary, you may not: (i) remove any proprietary notices from the Service, Software or any copy of the Software; (ii) cause, permit or authorize the modification, creation of derivative works, translation, reverse engineering, decompiling, disassembling or hacking of the Software or the Service; (iii) sell, assign, rent, lease, act as a service bureau, or grant rights in the Software or Service, including, without limitation, through sublicense, to any other entity without the prior written consent of Rhino Moon; (iv) make any false, misleading or deceptive statement or representation regarding Rhino Moon and/or the Software or Service; (v) export or re-export the Software in violation of United States or foreign export laws; (vi) use the Software or Service for any commercial purpose or the benefit of any third party or charge any person, or receive any compensation for, the use of the Software or Service or any manner not permitted by the licenses granted herein; (vii) use the Software or Service to, or in any way that would, violate any applicable law, regulation or ordinance; (viii) collect any information or communication about the Service or users of the Software or Service by monitoring, interdicting or intercepting any process of the Software or the Service; and (ix) use any type of bot, spider, virus, clock, timer, counter, worm, software lock, drop dead device, packet-sniffer, addon, hack, trainer, mod, cheat, Trojan-horse routing, trap door, time bomb or any other codes or instructions that are designed to be used to provide a means of surreptitious or unauthorized access or that are designed to distort, delete, damage, monitor, mine, enhance or disassemble the Software or the Service (collectively, “Unauthorized Software”). Furthermore, you may not use the Software or Service to develop, generate, transmit or store information that: (A) infringes any Rhino Moon or any third party intellectual property right or other proprietary right; (B) is defamatory, harmful, abusive, obscene or hateful; (C) in any way obstructs or otherwise interferes with the normal performance of another person's use of the Software or Service, (D) performs any unsolicited commercial communication not permitted by applicable law; (E) constitutes harassment or a violation of privacy or threatens other people or groups of people; or (F) constitutes phishing, pharming or impersonates any other person, or steals or assumes any person's identity (whether a real identity or online nickname or alias).
(b) The Software and Service may be incorporated into, and may incorporate, technology, software and services owned and controlled by third parties. Use of such third party software or services is subject to the terms and conditions of the applicable third party license agreements, and you agree to look solely to the applicable third party and not to Rhino Moon to enforce any of your rights in relation thereto. All modifications or enhancements to the Software and Service remain the sole property of Rhino Moon. You understand that Rhino Moon, in its sole discretion, may modify or discontinue or suspend your right to access the Service or use any of the Software at any time, and may at any time suspend or terminate any license hereunder and disable any Software you may already have accessed or installed without prior notice. Rhino Moon reserves the right to add or remove features or functions to the Software and/or Service at any time in its sole discretion. When installed on your computer, the Software periodically communicates with Rhino Moon servers. You acknowledge and agree that Rhino Moon has no obligation to make available to you any subsequent versions of its software applications.
3. Proprietary Rights
The Software and Service contain proprietary and Confidential Information of Rhino Moon, including copyrights which are protected by international copyright laws, trade secrets and trademarks contained in the Software and/or Service. Title to and ownership of the Software, including without limitation all intellectual property rights in and to the Software, are and shall remain the exclusive property of Rhino Moon and its licensors, and except for the limited license granted to you by Rhino Moon, Rhino Moon reserves all right, title and interest in and to the Software. You shall not take any action to jeopardize, limit or interfere with Rhino Moon's ownership of and rights with respect to the Software and Service. You acknowledge that any unauthorized copying or unauthorized use of the Software or Service is a violation of this Agreement and is strictly prohibited.
The Software may be used for viewing material created by third-parties. Rhino Moon makes no claim to proprietary or intellectual property rights in these third party materials, websites, and services.
4. Term and Termination
(a) This Agreement will be effective as of the date you accept this Agreement, thereby expressly agreeing to the terms and conditions set forth herein, and will remain effective until the termination of this agreement by either party as set forth below.
(b) You may terminate this Agreement at any time provided you cease all use of the Software and Service AND destroy or remove from all hard drives, networks, and other storage media all copies of the Software in your possession. Rhino Moon may terminate this Agreement at any time, with or without cause, by providing notice to you and/or preventing your access to the Software and/or Service.
(c) Upon termination of this Agreement for any reason (i) all licenses and rights to use the Software and the Service shall terminate, including without limitation, your Account, ID and Password (as those terms are defined in Section 8 below) and you must remove the Software from your computer equipment and dispose of all originals and copies of the Software in your possession, and (ii) Sections 2, 3, 4(c), and 5 through 12 shall survive such termination.
5. User ID and Password
To create an Account, you must establish a user identification name (an “ID”) and password (a “Password”). Maintaining the confidentiality and security of your Password(s) and ID(s) is solely your responsibility. You are fully responsible for the use and protection of your Password(s) and ID(s) and for all transactions undertaken through your Account(s). You shall notify Rhino Moon immediately at support@projectreadon.com of any unauthorized use of your Account(s) or any breach of security, including without limitation, any loss, theft or unauthorized use of your Password(s), and/or ID(s). Rhino Moon has the right to suspend or terminate your Account(s) due to a suspected breach of security or as otherwise provided under this Agreement. Rhino Moon shall not be responsible for any losses incurred in connection with any misuse of any Password, ID or Account.
6. Your Representations and Warranties
(a) You represent and warrant that (i) you possess the legal right and ability to enter into this Agreement and to comply with its terms, (ii) you will use the Software and Service for lawful purposes only and in accordance with this Agreement and all applicable laws, regulations and policies, (iii) you will not attempt to decompile, reverse engineer or hack the Software or the Service or to defeat or overcome any encryption and/or other technical protection methods implemented by Rhino Moon with respect to the Software and/or data transmitted, processed or stored by Rhino Moon or other users of the Software, (iv) you will not take any steps to interfere with or in any manner compromise any of Rhino Moon's security measures, any other individual's or entity's computer utilizing the Software and/or Service, (v) you will always provide and maintain true, accurate, current and complete information as requested by Rhino Moon, (vi) you shall not sell, lend, lease, trade, rent, barter, sublicense, assign, transfer or grant rights in any manner to any ID, Password or Account held by you, (vii) you are of a lawful age in your applicable jurisdiction to enter into this Agreement and install and use the Software and Service, and (viii) you will only use the Software and Service on a computer on which such use is authorized by the computer's owner or lessee, as applicable.
(b) You agree that you will not use any automatic or manual device or process (including, without limitation, Unauthorized Software) to interfere or attempt to interfere with the proper working of the Software or Service, except to remove the Software from a computer of which you are an owner or authorized user in a manner permitted by this Agreement. You may not violate or attempt to violate the security of the Software or Service. Rhino Moon reserves the right to investigate occurrences which may involve such violations, and may involve, and cooperate with, law enforcement authorities in prosecuting users who have participated in such violations. You agree to cooperate fully in any such investigations and you expressly acknowledge and agree that Rhino Moon may disclose your personal information and Service activities to comply with law enforcement or any legal, governmental or regulatory order or action.
(c) If Rhino Moon has reasonable grounds to suspect that your representations, warranties or promises are inaccurate or breached, Rhino Moon may terminate this license, your Password(s), ID(s) and Account(s), deny any or all use of the Software and/or Service, and pursue any appropriate legal remedies.
7. Indemnity
You agree to indemnify, hold harmless and defend Rhino Moon and its affiliates, parent companies, subsidiaries, officers, directors, employees, agents, network service providers, business partners and licensors (collectively, the “Indemnified Parties”) at your expense, against any and all third-party claims, actions, proceedings, and suits and all related iabilities, damages, settlements, penalties, fines, costs and expenses (including, without limitation, reasonable attorneys' fees and other dispute resolution expenses) incurred by Rhino Moon arising out of or relating to your (a) violation or breach of any term of this Agreement or any policy or guidelines referenced herein, including any unauthorized disclosure of Confidential Information or (b) use or misuse of the Software and/or Service.
8. Disclaimer of Warranties
(a) THE SOFTWARE AND SERVICE ARE PROVIDED "AS IS" AND THERE ARE NO WARRANTIES, CLAIMS OR REPRESENTATIONS MADE BY RHINO MOON, EITHER EXPRESS, IMPLIED, OR STATUTORY, WITH RESPECT TO THE SOFTWARE OR SERVICE, INCLUDING ANY WARRANTIES OF QUALITY, PERFORMANCE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, NOR ARE THERE ANY WARRANTIES CREATED BY COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE. RHINO MOON FURTHER DOES NOT REPRESENT OR WARRANT THAT THE SOFTWARE OR ANY SERVICE WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE, ERROR-FREE, OR WILL OPERATE WITHOUT PACKET LOSS, NOR DOES RHINO MOON WARRANT ANY CONNECTION TO OR TRANSMISSION FROM THE INTERNET, OR ANY QUALITY OF CALLS MADE THROUGH THE SOFTWARE OR THE SERVICE.
(b) YOU ACKNOWLEDGE THAT THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE AND SERVICE REMAINS WITH YOU TO THE MAXIMUM EXTENT PERMITTED BY LAW.
(c) As some jurisdictions do not allow some of the exclusions set forth in this Section 8, some of these exclusions may not apply to you.
9. Limitation of Liability
(a) IN NO EVENT SHALL RHINO MOON, ITS PARENT COMPANIES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, NETWORK SERVICE PROVIDORS OR LICENSORS BE LIABLE TO YOU WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE (WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY OR STRICT LIABILITY OR OTHER THEORY), FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION ANY LOSS OF DATA, SERVICE INTERRUPTION, COMPUTER FAILURE OR PECUNIARY LOSS) ARISING OUT OF THE INSTALLATION, UNINSTALLATION, USE OR INABILITY TO USE THE SOFTWARE OR THE SERVICE, INCLUDING ANY DAMAGES RESULTING THEREFROM, EVEN IF RHINO MOON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) YOUR ONLY RIGHT WITH RESPECT TO ANY PROBLEMS OR DISSATISFACTION WITH THE SOFTWARE AND/OR SERVICE IS TO UNINSTALL AND CEASE USE OF SUCH SOFTWARE AND SERVICE.
(c) As some jurisdictions do not allow some of the exclusions set forth in this Section 12, some of these exclusions may not apply to you.
10. Equitable Remedies
You hereby agree that Rhino Moon would be irreparably damaged if the terms of this Agreement were not specifically enforced, and therefore you agree that Rhino Moon shall be entitled, without bond, other security, or proof of damages, to appropriate equitable remedies with respect to breaches of this Agreement, in addition to such other remedies as Rhino Moon may otherwise have available to it under applicable laws. In the event any litigation is brought by either party in connection with this Agreement, the prevailing party in such litigation shall be entitled to recover from the other party all the costs, attorneys' fees and other expenses incurred by such prevailing party in the litigation. The term “attorneys’ fees” shall mean the full and actual costs of any legal services actually rendered in connection with the matters involved, calculated on the basis of the usual fees charged by attorneys performing such services, and shall not be limited to “reasonable attorneys’ fees” as defined by any statute or rule of court.
11. Electronic Signatures and Agreements
You acknowledge and agree that by clicking on the button labeled "SUBMIT", "DOWNLOAD", "I ACCEPT" or such similar links as may be designated by Rhino Moon to download the Software to accept the terms and conditions of this Agreement, you are submitting a legally binding electronic signature and are entering into a legally binding contract. You acknowledge that your electronic submissions constitute your agreement and intent to be bound by this Agreement. Pursuant to any applicable statutes, regulations, rules, ordinances or other laws, YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS AND OTHER RECORDS AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED THROUGH THE SOFTWARE OR SERVICE. Further, you hereby waive any rights or requirements under any statutes, regulations, rules, ordinances or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records.
12. General Provisions
Rhino Moon reserves all rights not expressly granted in this Agreement. Rhino Moon may modify this Agreement and/or Terms of Service at any time by providing such revised Agreement or Terms of Service to you or posting the revised Agreement or Terms of Service on its website located at www.projectreadon.com. Your continued use of the Software and/or Service shall constitute your acceptance of such revised Agreement, and/or Terms of Service. You may not assign this Agreement or any rights hereunder. Nothing in this Agreement shall constitute a partnership, agency or joint venture between you and Rhino Moon. Should any term or provision of this Agreement be deemed invalid, void or unenforceable either in its entirety or in a particular application, the remainder of this Agreement shall remain in full force and effect. The failure of Rhino Moon at any time or times to require performance of any provision of this Agreement shall in no manner affect its right at a later time to enforce the same unless the same is waived in writing. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States of America without regard to its conflict of law rules. Any legal proceeding arising out or relating to this Agreement will be subject to the exclusive jurisdiction of the State and Federal courts of Travis County, Texas and you irrevocably consent to the jurisdiction of such courts. The terms set forth in this Agreement and the Terms of Service constitute the final, complete and exclusive agreement with respect to the Software and Service and may not be contradicted, explained or supplemented by evidence of any prior agreement, any contemporaneous oral agreement or any consistent additional terms. Rhino Moon may, at its sole discretion, assign this Agreement without giving prior notice.
YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND UNDERSTAND THE RIGHTS, OBLIGATIONS, TERMS AND CONDITIONS SET FORTH HEREIN. BY CONTINUING TO INSTALL THE SOFTWARE, YOU EXPRESSLY CONSENT TO BE BOUND BY ITS TERMS AND CONDITIONS AND GRANT TO RHINO MOON THE RIGHTS SET FORTH HEREIN. |
